With the above Licence, Protean Music grants the Licensee a non-exclusive Licence to use the purchased music for projects only and otherwise in accordance with the terms of this Agreement.
The Licence grants synchronization and mechanical rights for the commercial and personal use of music purchased from the site.
The Licensee may edit the tracks for the purposes of synchronizing to the licensee’s project(s).
LIMITATIONS
The Licensee may not:
(a) Sell the music on its own for commercial purposes
(b) Make the music available to multiple computers over a network system
(c) Modify, adapt, reverse, decompile, disassemble or create derivative works based on the music
(d) Redistribute in automated templates
(e) Alter or embellish the music with intent to claim authorship
The Licensee acknowledges that Protean Music relies on the warranties given by composers that any music submitted to the Site does not infringe any third party rights or other agreements. Neither Protean Music or the Licensee is responsible for any infringements in this respect.
OBLIGATIONS
1. The Licensee will advise Protean Music of all projects in which the Music is used by completing the ‘Projects’ online form on the Site.
2. The Licensee will complete the cue sheets provided and will submit cue sheets to broadcasters, with a copy sent to Protean Music Ltd, where the music is used in projects for broadcast.
3. The Licensee will facilitate inspection of projects by Protean Music and will indemnify Protean Music in the event that it becomes apparent from inspection that there has been a breach of the terms of the Licence.
4. The composers and www.proteanmusic.com must always have visible credit where appropriate.
LICENSEE WARRANTIES
1. The Licensee will not make any material changes to the music, the resulting effect of which is to alter the music beyond recognition.
2. The Licensee will not claim authorship of music following any necessary alterations made for the purposes of any projects.
TERM AND TERMINATION
1. The Licence will continue until the date the copyright expires in the music subject to the following:
a) Protean Music has the right to terminate this Agreement and the Licence if the Licensee materially breaches any terms of the Licence.
b) In the event Protean Music becomes aware of any infringements in connection with the Music submitted by the Music Maker it will notify the Licensee and the Licence will terminate. The Licensee will be reimbursed its Licence Fee by Protean Music.
ERRORS AND VIRUSES
Protean Music will use its best endeavours to correct errors and omissions as quickly as practicable after being notified of them. However, due to the sophisticated technology required in operating the Site there may be times when obvious errors occur. Protean Music does not make any warranty that this Site is free from infection by viruses or anything else that has contaminating or destructive properties. |
